These terms apply to all contracts for Pro subscriptions concluded via regelkit.de with sors Michał Trykoszko, ul. Bacieczki 219/12, 15-686 Białystok, Poland, VAT ID PL5423359610, e-mail info@regelkit.de (“Regelkit”, “we”).
A consumer is any natural person who concludes the contract for purposes mainly outside their trade, business, craft or profession. A business is anyone acting for purposes of their trade, business, craft or profession. Deviating terms of businesses do not apply.
A Pro subscription gives you, for its term, a licence key for one production shop (one website address), downloads of the current Pro add-on, plugin and rule updates through WordPress, and e-mail support. Test, development and staging installs may be used in addition without counting towards the limit.
The “All Pro plugins” bundle covers these services for all three Pro add-ons in one shop, the “Agency 5” and “Agency 25” packages for up to 5 or 25 production shops.
The Pro add-ons require the respective free base version, WordPress and WooCommerce in the versions stated on the product page. The software is licensed under the GNU General Public License (version 2 or later); the subscription covers provision, updates and support.
The plugins calculate and document on the basis of the regulations stated. They do not replace legal, customs or tax advice; compliance of your shop remains your responsibility.
Showing subscriptions on the website is not a binding offer. By clicking “Order with obligation to pay” you make a binding offer. The contract is concluded when we accept the payment and show or e-mail you the licence key.
You can review and correct your entries before submitting. Contract languages are English, German and Polish. We store the contract text and e-mail you the order details, these terms and the information on the right of withdrawal.
The prices shown at the time of the order apply. For businesses prices are net plus statutory VAT; for businesses with a valid VAT ID in another EU member state the reverse charge applies. Consumers see the total price including the VAT of their country before ordering.
The price is payable in advance for each billing period (month or year). Payments are processed by Stripe Payments Europe Ltd.; the payment methods shown at checkout are available. You receive the invoice by e-mail.
A monthly subscription runs for one month and renews for one further month at a time unless cancelled. A yearly subscription runs for twelve months and then continues indefinitely on a monthly basis at the current monthly price. You can cancel a monthly subscription at any time to the end of the current month, a yearly subscription to the end of its first twelve months and afterwards at any time to the end of a month – using the “Cancel contracts here” button on our website, by e-mail or in other text form. We may cancel with one month’s notice to the end of a billing period.
The right to terminate for good cause remains unaffected. After the contract ends the licence key receives no further updates and the Pro features are deactivated after a transition period of 14 days. Your data in the shop is kept.
The licence key is meant for your shop. Please do not pass it on. In case of misuse – such as activation in other people’s shops beyond the agreed limit – we may block the key after prior notice.
To check the licence, the Pro add-on sends the licence key, the shop address and the version number to our server once a day.
Statutory rules apply; for consumers in particular the rules on digital content and digital services (Directive (EU) 2019/770 as implemented in their country). During the term we provide the updates needed to keep the add-ons in conformity with the contract.
We are liable without limitation for intent and gross negligence, for injury to life, body or health, under product liability law and within the scope of any guarantee given.
For slightly negligent breach of an essential contractual obligation – one whose fulfilment makes proper performance of the contract possible and on which you may regularly rely – liability is limited to the typical, foreseeable damage. Otherwise liability for slight negligence is excluded. Mandatory consumer protection rules remain unaffected.
Consumers have a right of withdrawal as described in the information on the right of withdrawal.
The law of the Republic of Poland applies, excluding the UN Convention on Contracts for the International Sale of Goods. For consumers, this choice of law does not deprive them of the protection of mandatory provisions of the country of their habitual residence.
If the customer is a merchant, the place of jurisdiction is Białystok (Poland).
We are neither willing nor obliged to take part in dispute resolution proceedings before a consumer arbitration board.
